TEAM MEMBER AGREEMENT

This team member agreement which includes a Non-Disclosure Agreement  and a Non-Compete Agreement (hereinafter together shall be referred to as the “Agreement”) is entered into by and between you, known in this agreement as the "Team Member", or otherwise employee, agent, contractor, volunteer or otherwise in any way involved in the production of any events, projects, and business ventures and Realstreetjams LLC here forward known in this agreement as "RSJ" (collectively referred to as the “Parties”).

NON-DISCLOSURE AGREEMENT

CONFIDENTIAL INFORMATION - The Receiving Party known in this agreement as the Team member agrees not to disclose, copy, clone, or modify any confidential information related to the Disclosing Party(RSJ, its team members, employees, staff, agents, contractors and or assigns) and agrees not to use any such information without obtaining expressed written consent from RSJ - “Confidential information” refers to any data and/or information that is related to the Disclosing Party, in any form, including, but not limited to, oral or written or in the form of digital assets. Such confidential information includes, but is not limited to, any information related to the business or industry of the Disclosing Party, such as event plans, event details discoveries, processes, techniques, programs, knowledge bases, customer lists, potential customers, business partners, affiliated partners, leads, knowhow, or any other services related to the Disclosing Party.

RETURN OF CONFIDENTIAL INFORMATION - The Receiving Party agrees to return all the confidential information to the Disclosing Party upon the termination of this Agreement.

OWNERSHIP - This Agreement is not transferable and may only be transferred by written consent provided by both Parties. All confidential information disclosed shall remain property of RSJ indefinitely.

GOVERNING LAW - This Agreement shall be governed by and construed in accordance with the laws of whichever state business is conducted.

ENTIRE AGREEMENT - The Parties hereby agree to the terms and conditions set forth in this Agreement.

NON-COMPETE AGREEMENT

TERM - This Agreement shall be effective throughout the period of employment of the employee, or otherwise period where Team member is performing any type of work for RSJ and will remain in effect indefinitely and after the conclusion of the employment or work written or oral contract.

NON-COMPETE - The Team member hereby agrees that he/she will, during the term of his/her employment/work, shall refrain from engaging in any business or company that is competitive with the Employer’s business activity and scope of work. As a result, the Team member and or Employee will not engage in any business or work that competes with the Company’s business activity. - The Team Member/Employee agrees that he/she will not manage, operate, advise, own, control, consult with, or permit his/her name to be used by any business that competes with RSJ.

ENTIRE AGREEMENT.

This agreement represents the entire agreement between Team member and RSJ, RSJ reserves the right to change any portion of this agreement at any time at their discretion without any notice to Team member. It is the responsibility of the Team member to check back from time to time for any updates to this agreement.
